Private Deployment Addendum

This Addendum applies when an order form licenses QuantJourney Data Infrastructure — Private Deployment to run inside your environment. It supplements the Terms of Use. If this Addendum, the Terms and an order form conflict, the order form controls, then this Addendum, then the Terms.
1. Definitions
“Software” means the QuantJourney components listed in the order form, including the QJ API server, connector layer, governance control plane, MCP runtime, delivered updates and the Python SDK contract used to access the installation. “Private Deployment” means the standard Docker / VM installation operated in your infrastructure. “Proprietary Components” means Software not governed by a separate open-source or source-available license.
2. License grant
Subject to payment and these terms, QuantJourney grants your organisation a non-exclusive, non-transferable, non-sublicensable license during the term to install and run the Proprietary Components for internal business purposes as stated in the order form. The subscription includes REST API, Python SDK access, governed MCP, the full supported connector registry, updates, lineage and audit context, and standard support. Standard Docker / VM setup and handover carry a separate one-time fee. No separate Hosted plan or MCP add-on is required for the private installation.
3. Restrictions
You may not distribute, sublicense, rent, lease or provide the Proprietary Components to a third party; offer the Software as an OEM, white-label or hosted service unless an order form expressly permits it; remove or circumvent license controls or notices; or use non-public interfaces or documentation to build a competing product. You may inspect the code delivered in the runtime images for security review and modify documented configuration and extension points. No ownership or redistribution rights transfer.
4. Delivery, updates and standard deployment
QuantJourney delivers signed images and release notes. You choose when to apply updates and operate the installation. The subscription includes software, connector and security updates, bug fixes and email support. The separate setup fee covers standard Docker / VM installation, initial configuration and handover.
Custom Kubernetes, Terraform, IAM, SSO, internal data-lake integration, unusual corporate proxy or firewall work, custom connectors, custom schemas, analytics and managed operations are professional services quoted separately.
5. Licensing mechanism
Entitlements are expressed in an offline license file. The Software makes no mandatory outbound connection to QuantJourney. Registry pulls are initiated under credentials provided for delivery of updates.
6. Data and third-party providers
The Software confers no rights in third-party data. You hold and comply with provider licenses for every source you activate. QuantJourney stores no provider credentials and no provider data on its infrastructure in connection with your Private Deployment. Data processed by the installation stays in your environment unless you send it elsewhere, including to an external AI agent connected to your MCP runtime.
Credentials are used only for your requests and are never pooled or used for another customer, QuantJourney datasets, research or model training. MCP returns governed results and provider context; it does not expose raw vendor credentials to the agent.
7. Operating responsibilities
You provide and pay for infrastructure, network, storage and backup; operate the installation; apply updates; and respond to operational incidents. QuantJourney maintains the licensed Software and supported connector layer as described above. Provider availability and your provider contracts remain outside QuantJourney's control.
8. Security review
The parties acknowledge that review depth depends on network access, credentials and data sensitivity rather than contract value alone. QuantJourney will provide the standard architecture, data-flow and security materials available for the product. Bespoke questionnaires, controls, DPA or SLA commitments may be scoped in the order form.
9. Term, expiry and wind-down
The license runs for the term in the order form. Updates and support end at expiry. For 90 days after expiry the installation remains fully operational so you may renew, export data or migrate. After day 90 the license limits the installation to export-only mode: locally stored data, configuration, export, administrative and health functions remain available; provider-fetching routes and MCP tools stop. Enforcement is local to the offline license file. QuantJourney does not remotely disable an installation or delete customer data. A renewed valid license file restores full operation.
10. Intellectual property
QuantJourney and its licensors retain all rights in the Software. Open-source and source-available components remain governed by their own license files. No ownership transfers.
11. Warranties, liability and governing terms
The warranty disclaimers and liability limits in the Terms of Use apply. The contracting entity, governing law, forum and any negotiated cap are stated in the order form.
